GitHub is looking for a dynamic and motivated transactional lawyer to join its growing Corporate, External, and Legal Affairs (CELA) team. This position, which reports to the Head of Commercial Legal, will help support the GitHub global sales team and accelerate the growth of our business.

Your role will be to support our Sales team on a wide variety of agreements as they sell GitHub products and services, and engage strategic and local partners, to reach millions of customers around the globe. You will “own” legal support for a to-be-defined set of global regions, strategic programs and initiatives, and/or key functions for the business and our team, while also working collaboratively and transparently with others in GitHub CELA and across other functions. You will draft and negotiate a wide range of standard and custom customer, partnership, procurement, and other agreements and supporting legal documents, in close collaboration with teammates and clients. We are also evolving our Sales legal support, agreement templates, and engagement and empowerment models to scale to an increasing volume and diversity of transactions, while also maintaining a high level of service and quality, and you will be a key contributor to these efforts. 

Minimum Qualifications:

  • A J.D. or a license to practice law in the U.S.
  • At least 4 years’ experience as a transactional attorney with solid experience in cloud services and software licensing agreements
  • A wonkish interest in technology law of all sorts, including open source software, privacy, and compliance
  • A joy and passion for the dual crafts of written communication and contract drafting
  • Strong negotiation, communication, and analytical skills, with a bias for action and driving to balanced solutions that scale, advance our business, and meet customer needs
  • High standards of personal excellence, strong judgment, and intellectual curiosity that takes your understanding, work product and client relationships to the next level
  • The desire and ability to perform as part of a diverse and inclusive team, and to foster a spirit of diversity, inclusion and belonging in GitHub CELA
  • Flexible, personable, and enjoys a dynamic, fast-paced, and remote-first corporate culture
  • A commitment to provide high quality client service and a strong desire to build trusted advisor relationships with clients
  • Technical acumen, and a capacity to quickly learn new business and technology concepts
  • Legal authorization to work in the United States

Preferred Qualifications:

  • Law firm *and* in-house experience
  • Software engineering skills aren't required, but a basic understanding of software coding is a definite plus
